Adify360 provides performance marketing services including but not limited to:

– Paid advertising (Meta Ads, Google Ads, etc.)
– Lead generation campaigns
– Conversion optimization
– Shopify marketing and consulting

Our services operate on a performance-based model, which may include commissions based on results such as leads, conversions, or sales.

2. Eligibility

By using our services, you confirm that:

– You are at least 18 years old
– You have the authority to enter into a binding agreement
– You will provide accurate and complete business information

3. Engagement & Payment Terms

3.1 Pricing Model

– We may charge a fixed retainer fee, a performance-based commission, or a hybrid model depending on the agreement.
– Commission is calculated based on agreed metrics such as:
– Leads generated
– Verified conversions
– Net sales

3.2 Lead-Based Billing

– In cases where conversion tracking is not possible, billing will be based on qualified leads.
– A “qualified lead” is defined as per mutual agreement before campaign launch.

3.3 Payment Terms

– Payments must be made within the agreed time frame (e.g., 7–15 days).
– Late payments may result in campaign suspension.

4. Client Responsibilities

Clients agree to:

– Provide timely access to ad accounts, CRM, website, or Shopify store
– Share accurate data for tracking performance
– Respond promptly to communication for campaign optimization

Failure to do so may impact results, for which Adify360 will not be held responsible.

5. No Guarantee of Results

While we specialize in performance marketing, we do not guarantee specific outcomes such as:

– Number of leads
– Revenue targets
– ROI

Performance depends on multiple external factors including market conditions, competition, and product-market fit.

6. Data & Tracking

– We rely on tools like Meta Pixel, Google Analytics, and CRM integrations.
– Any discrepancies due to third-party tracking limitations are not our liability.
– Final billing metrics will be based on mutually agreed tracking sources.

7. Intellectual Property

– All creatives, ad copies, and strategies developed by Adify360 remain our intellectual property unless otherwise agreed.
– Clients may use deliverables only for their business purposes.

8. Confidentiality

Both parties agree to keep confidential:

– Business strategies
– Customer data
– Financial information

9. Termination

Either party may terminate the agreement:

– With prior written notice (e.g., 7–15 days)
– Immediately in case of breach of terms

All outstanding dues must be cleared upon termination.

10. Limitation of Liability

Adify360 shall not be liable for:

– Indirect or consequential losses
– Platform bans or ad account issues
– Loss of revenue due to external factors

11. Indemnification

You agree to indemnify and hold Adify360 harmless from any claims arising from:

– Your business operations
– Misleading advertisements
– Violation of platform policies

12. Modifications

We reserve the right to update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.
